Changes the Rules

“Awareness” in a single word defines the JOBS Act of 2012.  Individual investors for decades have lamented, “I wish I had the  opportunity to invest in Apple or Google early on.”

SEC rule: a private company could NOT solicit an investment from an individual they didn’t know unless they had a registered public offering; a lengthy and costly process. This legislation changed the rules.  Now privately companies can publicly solicit for investors.

This is the most significant change in securities law in 75 years.

New Access to Capital

The challenge; integrate “Awareness” with “Access.” Good News: a private company can now sell securities to the public.  Instead of having to rely on a handful of venture capitalists and angels to fund a project, a company’s potential investors now number close to 50 million.

This is what is being called “The Crowd.”   The process of accessing this new source of capital is termed “Crowdfunding,”or more specifically, “Equity Crowdfunding” and it is in its infancy.

CMG’s mission is to achieve for its client companies the best in both “Awareness and Access” to the “Crowd” to help them secure their capital requirements.

What We Do

In order to serve both the companies issuing securities and prospective investors, CMG has four distinct and separate services groups.   Investment Banking and Funding Services provide comprehensive services for issuers and the Media and Investor Services groups provide a wide range of content and services for investors.  Each group supports CMG’s overall goal of “Connecting Companies and Investors.”  Our services and content are designed  to build awareness, access and knowledge that facilitate successful investor and issuer interactions.

  Investment Banking combined with CMG Funding Services provides client companies a single source to structure, develop, market, and promote a private securities offering. CMG has defined and developed Investment Banking services that specifically serve the needs of small to medium sized private firms and small cap public companies.   SEC Reg D 506(c) and Reg A+ allows public solicitation for private offerings.  The represents the first major change in our securities law in over 75 years.  Up to this point
